Welcome to Elarion Solutions, LLC d/b/a Volterra Health (“Company,” “we,” “our,” or “us”). By accessing or using the services, website, or materials provided by Volterra Health, you agree to these Terms and Conditions (“Terms”). Please read these Terms carefully before engaging with our services. If you do not agree to these Terms, you must discontinue your use of the services and website.

1. Scope of Services

Volterra Health provides health and wellness coaching, concierge wellness services, and educational content to support clients in achieving their personal wellness goals. These services are not a substitute for professional medical advice, diagnosis, or treatment.

You acknowledge and agree that:

  • Volterra Health does not diagnose, treat, cure, or prevent any disease or medical condition.
  • Coaching and concierge services are intended to complement—not replace—the guidance of licensed healthcare providers.
  • Services are provided remotely and are available to clients across various locations, subject to applicable laws and regulations.

2. Collaborative Care Team

As part of its concierge services, Volterra Health may engage a collaborative care team of licensed medical professionals who act as advisors to provide insights and recommendations related to your care.

  • Advisory Role: The collaborative care team serves solely in an advisory capacity. These professionals do not establish a direct doctor-patient relationship with you through their participation.
  • Medical Decisions: All medical advice, treatment plans, or health-related decisions remain solely between you and your licensed healthcare provider(s). Volterra Health and its advisors are not responsible for implementing or managing medical treatments.

Your Responsibility: You are solely responsible for consulting your licensed healthcare provider regarding any decisions or changes to your health, including medications, supplements, or treatments.

3. Eligibility

You must be at least 18 years of age to access or use the services provided by Volterra Health. By engaging with our services, you represent and warrant that you are legally capable of entering into a binding agreement.

If you are under the age of 18, you may only participate in coaching or concierge services with the explicit consent of a parent or legal guardian. A parent or guardian must be present during all sessions and communications. By providing consent, the parent or guardian assumes full responsibility for the minor’s engagement with Volterra Health services.

4. Client Responsibilities

You agree to:

  • Provide accurate and truthful information about your health, lifestyle, and wellness goals during coaching sessions or concierge services.
  • Consult with a licensed healthcare provider before implementing any recommendations provided through Volterra Health services.
  • Assume full responsibility for any decisions, actions, or outcomes resulting from your participation in Volterra Health programs or use of its materials.

5. Payment Terms

  • Program Completion: Clients agree to pay for and complete all sessions included in their selected program.
  • Standard Payment Schedule: Payments for coaching and concierge services must be made as follows:
    • 100% of the total program fee is due prior to the start of the first session.
    • Any additional fees require payment before services rendered IE: Labs
  • Non-Refundable Fees: All payments are non-refundable unless explicitly stated otherwise in a separate agreement or required by applicable law.
  • Failure to Pay: Failure to make payments as agreed will result in:
  • Suspension of services until the outstanding balance is paid in full.
  • Termination of services if payment is not received within 15 days of the due date.
  • The right for Volterra Health to pursue legal remedies to collect unpaid balances, including but not limited to engaging a collection agency, filing a lawsuit, and seeking reimbursement for all reasonable legal fees, court costs, and collection expenses incurred in recovering the debt.
  • A late fee of 2% may be applied to balances overdue by more than 10 days.

6. Boundaries of Access

Volterra Health is committed to maintaining clear and professional boundaries to ensure quality service delivery. If your coaching agreement includes additional access to coach outside of scheduled sessions, the following terms apply:

  • Availability: [Your Name] will be available Monday through Friday from 8:30 AM to 4:30 PM CST, excluding holidays.
  • Communication Channels: Access may include email, messaging platforms, or other agreed-upon methods, but is subject to the availability and discretion of Volterra Health.
  • Response Times: While every effort will be made to respond promptly, communications received outside of the stated availability hours will typically be addressed during the next business day.
  • Boundaries: Clients are encouraged to respect these boundaries and use designated access for relevant and program-related inquiries.

7. No Guarantees

Volterra Health does not guarantee any specific outcomes or results from the use of its services or materials. Results are highly individual and depend on various factors, including personal effort, commitment, and external circumstances.

8. Limitation of Liability

To the fullest extent permitted by law, Volterra Health and its representatives shall not be held liable for any damages, whether direct, indirect, incidental, consequential, or punitive, arising out of your use of the services or materials provided. This includes, but is not limited to:

  • Loss of income or business opportunities.
  • Personal injury or adverse health outcomes.
  • Decisions based on coaching sessions, concierge services, or materials provided.

9. Indemnification

You agree to indemnify and hold harmless Volterra Health, its employees, agents, and affiliates from any claims, liabilities, damages, or expenses arising out of:

  • Your breach of these Terms.
  • Your use or misuse of Volterra Health’s services or materials.

Any actions or decisions you take based on coaching sessions or concierge recommendations.

10. Content

All content provided by Volterra Health is the exclusive intellectual property of Volterra Health LLC. This includes, but is not limited to, printed materials, audio recordings, videos, handouts, recipes, email communications, and other proprietary content. These materials may not be shared, forwarded, reproduced, modified, distributed, repurposed, or sold in any form without explicit, written permission from Volterra Health. These resources reflect the unique value of our offerings, and we sincerely appreciate your respect for our intellectual property.

11. Privacy Policy

Your use of Volterra Health’s services is subject to our Privacy Policy, which governs the collection, use, and protection of your personal information. By engaging with our services, you consent to the terms outlined in the Privacy Policy.

12. Termination

Volterra Health reserves the right to terminate or suspend your access to its services at any time without prior notice if you breach these Terms or engage in conduct deemed harmful to the Company or other clients.

13. Dispute Resolution

IN THE EVENT OF ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS, BOTH PARTIES AGREE TO FIRST ATTEMPT TO RESOLVE THE MATTER THORUGH GOOD-FAITH NEGOTIATIONS. IF A RESOLUTION CANNOT BE REACHED, DISPUTES SHALL BE SUBJECT TO ARBITRATION OR MEDIATION IN ACCORDANCE WITH THE LAWS OF THE STATE OF ILLINOIS. 

14. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law or provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Illinois.

15. Amendments

Volterra Health reserves the right to modify or update these Terms and Conditions at any time without prior notice. The most current version will be posted on our website, and your continued use of the services constitutes acceptance of the updated Terms.

16. Acknowledgment

By engaging with Volterra Health’s services or using its materials, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
